1. About these Terms

These Terms and Conditions (“Terms”) govern your purchase and use of a subscription licence for the Praman software application (“Praman”) from IshaNova Concepts, through ishanovaconcepts.com (the “Website”). By placing an order or using Praman you agree to these Terms, our Privacy Policy and our Refund, Cancellation and Shipping Policy. If you do not agree, please do not use the Website or buy a licence.

2. Eligibility

You must be at least 18 years old and capable of entering into a binding contract under Indian law. If you buy on behalf of a company or other organisation, you confirm that you are authorised to bind it, and “you” includes that organisation.

3. Licence

On successful payment, we grant you a limited, non-exclusive, non-transferable, non-sublicensable licence to install and use Praman for your internal business purposes for the subscription period and plan you have purchased, subject to these Terms. Praman is licensed, not sold. You may not:

• copy, modify, translate or create derivative works of Praman;
• reverse engineer, decompile or attempt to extract source code, except as permitted by law;
• rent, lease, resell, sublicense or share your licence or licence key with others;
• remove proprietary notices, or use Praman to build a competing product; or
• use Praman unlawfully or in a way that harms our systems or other users.

4. Plans, prices and taxes

Plans, features and prices are shown on the Website in Indian Rupees (INR). Prices are inclusive of Goods and Services Tax (GST) and other applicable taxes, which are shown separately at checkout before you pay. We may change prices or plans at any time; changes do not affect licences already paid for until their renewal. We make reasonable efforts to keep prices accurate, and may cancel and refund an order placed at an obviously incorrect price.

5. Orders and payment

• Orders are made through the Website and paid online through our payment gateway, ICICI. Available payment methods (such as UPI, cards, net banking and wallets) are shown at checkout.
• An order is accepted and the licence becomes active only after we receive confirmation of successful payment.
• You confirm that you are authorised to use the payment method you choose. Payments are subject to verification and authorisation by your bank or issuer.
• If an amount is debited but the order fails, it is normally reversed automatically by your bank. See our Refund, Cancellation and Shipping Policy.
• We may refuse or cancel orders we reasonably suspect to be fraudulent or in breach of these Terms.

6. Subscription term and renewal

Your licence is valid for the term of the plan you purchase, starting on activation. Licences renew automatically only if you have set up a recurring payment mandate; we will remind you before expiry and you may renew by purchasing again; you can cancel it at any time. If a licence expires, access to Praman will be restricted until it is renewed.

7. Your account and responsibilities

• Provide accurate information and keep it up to date.
• Keep your credentials and licence key confidential; you are responsible for activity under your account.
• Tell us promptly if you suspect unauthorised use.
• Comply with all laws that apply to your use of Praman.

8. Intellectual property

Praman, the IshaNova name and logo, and all related software, content, designs and documentation are owned by IshaNova or its licensors and are protected by Indian and international intellectual property laws. Except for the limited licence use in clause 3, no rights are transferred to you.

9. Your data

You retain ownership of the data you enter into or generate with Praman (“Customer Data”). You grant us the limited right to process Customer Data only to provide and support Praman. How we handle personal data is described in our Privacy Policy.

10. Support and availability

We provide support by email and the contact details on the Website during working days. We aim for reliable service but do not guarantee that Praman or the Website will be uninterrupted or error-free. We may carry out maintenance and updates from time to time.

11. Disclaimer of warranties

To the maximum extent permitted by law, Praman and the Website are provided “as is” and “as available”. We do not give any warranty, express or implied, including of merchantability, fitness for a particular purpose or non-infringement, except those that cannot be excluded by law. You are responsible for deciding whether Praman suits your needs and for any decisions you take using its outputs.

12. Limitation of liability

To the maximum extent permitted by law: (a) IshaNova is not liable for any indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, data or goodwill; and (b) our total liability for any claim arising from these Terms or your use of Praman will not exceed the fees you paid for the licence in the twelve months before the claim arose. Nothing in these Terms excludes liability that cannot be excluded under law, including your statutory rights as a consumer.

13. Indemnity

You will indemnify and hold IshaNova harmless against claims, losses and expenses (including reasonable legal fees) arising from your breach of these Terms or misuse of Praman, to the extent permitted by law.

14. Suspension and termination

We may suspend or terminate your licence if you materially breach these Terms, misuse Praman or the payment system, or if required by law, after notice where practicable. You may stop using Praman at any time. On termination your licence ends, and refunds, if any, are governed by our Refund, Cancellation and Shipping Policy. Clauses that by their nature should survive (including intellectual property, limitation of liability and governing law) will continue.

15. Force majeure

Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disasters, pandemics, war, government action, power or internet failures, or failures of third-party services.

16. Governing law and disputes

These Terms are governed by the laws of India. The parties will first try to resolve any dispute through good-faith discussion. Subject to that, the courts at Hyderabad, Telangana have exclusive jurisdiction. Nothing limits any right you have under the Consumer Protection Act, 2019 to approach a consumer commission.

17. Changes to these Terms

We may update these Terms from time to time. The updated Terms apply from the “Last updated” date shown above, and continued use of the Website or Praman after that date means you accept them. Terms in force at the time of your purchase apply to that purchase for its term, unless the law requires otherwise.

18. General

• Entire agreement: these Terms, with the policies they refer to, are the whole agreement between you and IshaNova for Praman.
• Severability: if any part is held unenforceable, the rest stays in force.
• No waiver: failure to enforce a right is not a waiver of it.
• Assignment: you may not assign your licence without our written consent; we may assign these Terms in a restructuring or sale of the business.
• Notices: we may send notices to the email address you gave us or post them on the Website.
